These Terms of Service (“Terms”) govern your access to and use of our website at https://wilyspace.com/ (the “Site”) and any related services, including but not limited to interior and exterior design consultations, 2D/3D design layouts, furniture design, and custom design plans (collectively, the “Services”).
By accessing the Site or using the Services, you (“Client,” “you,” or “your”) agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.
Description of Services
Wily Space provides professional interior design and architecture services tailored to homeowners, villa owners, restaurant owners, and corporate clients. Our Services include:
- Home interior and exterior design.
- 2D and 3D design layouts.
- Custom furniture design.
- Personalized design plans.
All Services are provided on a project-by-project basis, and specific terms for each engagement will be outlined in a separate Service Agreement or proposal (“Project Agreement”).
Eligibility
Client Responsibilities
- Provide accurate and complete information, including measurements, preferences, and access to the project site as needed.
- Cooperate with our team during consultations, site visits, and revisions.
- Ensure that any materials or instructions you provide do not infringe on third-party rights.
Payments and Fees
- Fees for Services are detailed in the Project Agreement and may include fixed fees, hourly rates, or milestone-based payments.
- Payments are due upon invoice issuance via bank transfer, credit card, or other specified methods. Late payments may incur a 1.5% monthly interest charge.
- All fees are non-refundable except as specified in the Project Agreement. We reserve the right to suspend Services for non-payment.
- Prices do not include taxes, shipping, or material costs unless otherwise stated.
Intellectual Property
- All designs, layouts, plans, and materials created by Wily Space (“Deliverables”) remain our property until full payment is received.
- Upon full payment, you receive a non-exclusive, non-transferable license to use the Deliverables for your personal or internal business purposes only.
- You agree not to reproduce, modify, or distribute the Deliverables without our written consent. We retain all rights to our pre-existing tools, templates, and methodologies.
Confidentiality
Both parties agree to keep confidential any proprietary information disclosed during the engagement, including client details, design concepts, and business strategies.
Warranties and Disclaimers
- We warrant that services will be performed in a professional manner consistent with industry standards.
- Except as expressly provided herein, the services are provided “as is” without warranties of any kind, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.
- We are not liable for delays due to client changes, unforeseen site conditions, or third-party contractors.
Limitation of Liability
To the maximum extent permitted by law, wily space shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or data, arising from the services, even if advised of the possibility of such damages. Our total liability shall not exceed the fees paid for the specific project.
Termination
- Either party may terminate a project agreement for material breach with 30 days’ written notice if the breach is not cured.
- Upon termination, you must pay for all services rendered up to the termination date.
- These terms may be terminated by us at any time for violation of these terms, with immediate effect.
Governing Law and Dispute Resolution
These Terms shall be governed by the laws of the State of California, USA, without regard to conflict of laws principles. Any disputes shall be resolved exclusively in the courts of Los Angeles County, California.
